These Terms govern your use of shuafay.com, customer accounts, purchases, made-to-order and custom products, SHUAFAY Wallet features, B2B manufacturing and SHUAFAY Studios services.

Last updated: 5 August 2026. Please read these Terms together with the policy or written agreement that applies to your specific transaction.

Your mandatory consumer rights are not excluded.

Where a law applicable to you provides rights that cannot legally be waived, restricted or excluded, that law takes priority over any inconsistent part of these Terms.

01 Agreement, Scope and Applicable Policies

These Terms & Conditions (“Terms”) govern access to and use of shuafay.com, including its content, customer accounts, checkout, product orders, custom clothing, made-to-order production, quotation tools, SHUAFAY Wallet features, B2B manufacturing, SHUAFAY Studios services and related functionality.

In these Terms, “SHUAFAY,” “we,” “us” and “our” refer to SHUAFAY and the relevant SHUAFAY division providing the product or service. “You” and “your” refer to the website visitor, customer, subscriber, business client or other user.

By accessing the website, creating an account, placing an order, submitting an inquiry, topping up or using a Wallet, requesting a quotation, approving a sample or engaging a service, you agree to these Terms and the applicable linked policies.

Policies incorporated into these Terms

Order of priority

If two documents conflict, a signed agreement, accepted quotation, statement of work or transaction-specific written confirmation takes priority for that transaction. A topic-specific policy then takes priority for the procedure it governs, followed by these general Terms.

Mandatory applicable law takes priority over all contractual documents.

The English version is the controlling version where these Terms are translated and a translation differs from the English text.

02 About SHUAFAY, Eligibility and Authority

SHUAFAY operates under the SHUAFAY Industries business structure through the unified domain shuafay.com.

The principal divisions include:

  • SHUAFAY: premium leatherwear, apparel, accessories, custom clothing and related retail products.
  • SHUAFAY Industries: manufacturing, private-label production, B2B development, sourcing, logistics and commercial supply.
  • SHUAFAY Studios: web, ecommerce, SEO, performance, creative and related digital services.

We may introduce, discontinue, rename or restructure divisions, products, services and website features where commercially or operationally appropriate.

By using SHUAFAY, you confirm that:

  • you have legal capacity to enter the relevant transaction;
  • where required, you have permission from a parent, guardian or authorized representative;
  • information you provide is accurate, current and complete;
  • your use is lawful in your jurisdiction;
  • you are not prohibited from the transaction by sanctions, trade restrictions or other applicable law.

If you act for a company, partnership, organization, client or other entity, you confirm that you are authorized to bind that entity.

03 Accounts, Security and Acceptable Website Use

Some features may require a customer account. You are responsible for keeping account information accurate and login credentials confidential.

Notify SHUAFAY promptly where you reasonably suspect unauthorized access, compromised credentials, fraudulent orders or misuse of your account.

You must not:

  • use the website for unlawful, fraudulent, deceptive, abusive or harmful activity;
  • impersonate another person or submit false account, payment or delivery information;
  • attempt to bypass security, payment, geographic, pricing, promotion or access controls;
  • introduce malware, malicious scripts, automated attacks or harmful code;
  • scrape, crawl, copy, overload, reverse engineer or commercially exploit the website without written authorization;
  • misuse reviews, quotations, inquiries, coupons, Wallet benefits, returns or customer-support systems;
  • interfere with another person’s use of the website.

We may reasonably restrict or suspend access, cancel affected transactions, preserve evidence and cooperate with payment processors or lawful authorities where fraud, abuse, security risk or a material breach is suspected.

Where practical and legally appropriate, we will seek to resolve account concerns before permanent termination.

04 Privacy, Cookies and Electronic Communications

Personal information is handled in accordance with the Privacy Policy and cookies are governed by the Cookie Policy .

You agree that order confirmations, quotations, invoices, payment notices, account-security notices, delivery updates, service messages and other transactional communications may be provided electronically.

You are responsible for providing a working email address and reviewing messages connected to your transaction.

Optional marketing communication is separate from necessary transactional messages. You may update or stop optional marketing through the preference or unsubscribe link provided in the relevant email.

Electronic records, acknowledgements, approvals, system logs and correspondence may be retained and used to administer orders, support, fraud review and disputes, subject to applicable law and our Privacy Policy.

05 Product Information, Images and Material Variations

We aim to present accurate descriptions, prices, images, measurements, materials, colours, features and availability.

Reasonable differences may arise because:

  • screen settings and photography affect colour appearance;
  • natural leather varies in grain, texture, creasing, tone, softness and surface character;
  • dye lots, supplier batches and finishing processes may differ;
  • handmade construction may create minor measurement or stitching variation;
  • hardware, lining or trims may change due to availability or technical suitability.

Normal natural character and minor manufacturing variation do not automatically constitute defects.

AI-assisted and digitally created visuals

SHUAFAY may use digital rendering, AI-assisted imagery, editing or concept visualization to communicate a product or design direction.

Such visuals are design references rather than a guarantee of pixel-for-pixel physical replication. The final product is governed by the confirmed specification, selected materials, approved sample where applicable and practical manufacturing requirements.

Where a proposed substitution would materially change an agreed custom product, we will seek approval where reasonably practicable before proceeding.

Protective and regulated products

A product is not represented as certified, protective, waterproof, flame resistant, armoured or compliant with a particular standard unless that claim is expressly stated for the specific product and supported by the applicable documentation.

06 Pricing, Currency, Taxes and Promotions

The price shown at checkout in the selected or supported currency is the price submitted with the order, subject to error correction, verification and order acceptance.

Checkout may support USD, CAD, SGD, GBP, EUR, AED, SAR, PKR or other currencies made available on the website. Supported currencies and localized pricing may change.

Your bank, card issuer, intermediary or payment provider may apply its own exchange rate, international transaction fee or other charge outside SHUAFAY’s control.

Unless checkout or a written quotation states otherwise, prices may exclude:

  • import duties and customs charges;
  • VAT, GST, sales tax or similar taxes;
  • brokerage and destination handling;
  • remote-area or storage charges;
  • bank or intermediary fees.

Promotions, coupons, Wallet bonuses, bundles, free shipping and limited offers are subject to their published conditions, eligibility, availability and technical validity.

Promotions cannot be combined unless expressly permitted. We may correct or withdraw an offer affected by fraud, misuse, duplicate accounts, a technical error or an obvious pricing mistake.

If a material pricing error affects an order, we may contact you with the correct price or cancel the affected item and refund any captured amount.

07 Order Submission, Acceptance and Cancellation

Submitting an order is an offer to purchase. An automated order receipt, payment attempt or acknowledgement confirms that the request was received but does not necessarily confirm final acceptance.

A contract is formed when SHUAFAY expressly confirms acceptance for processing, production or dispatch, depending on the type of product.

Before acceptance, we may verify:

  • payment authorization;
  • price and product information;
  • material or stock availability;
  • delivery serviceability;
  • custom specifications;
  • fraud and compliance risk;
  • country or product restrictions.

We may refuse, limit or cancel an order where there is a pricing error, unavailable material, payment failure, suspected fraud, restricted destination, unlawful request, technical failure or other reasonable operational issue.

Where payment has already been captured for an order we cancel, the appropriate amount will be refunded according to the original payment allocation and normal payment processing times.

Contact us promptly if you request a change or cancellation. We cannot guarantee that a change can be made after processing, material allocation, customization or production has started.

We may limit quantities or decline orders that appear intended for unauthorized resale, promotion abuse or automated purchasing.

08 Payment Processing, Verification and Fraud Prevention

Payments may be processed through HBL Pay or other payment providers made available at checkout.

By submitting a payment, you authorize the relevant provider and SHUAFAY to:

  • validate the payment method;
  • authenticate the transaction;
  • request authorization and capture;
  • perform fraud and risk screening;
  • process refunds or reversals;
  • retain transaction records as permitted.

A payment may be declined, held or reviewed by the issuer, gateway or SHUAFAY even where the customer initially receives an on-screen success message.

We may request reasonable verification where a transaction appears unusual, high-risk, mismatched or potentially fraudulent.

Do not submit payment credentials you are not authorized to use. You are responsible for charges, fees or consequences imposed by your issuer due to insufficient funds, incorrect information or unauthorized use.

System records, gateway responses, order history, communication and delivery evidence may be used to investigate payment disputes and chargebacks.

09 Made-to-Order, Bespoke and Custom Products

A made-to-order, personalized, bespoke or custom product may be manufactured after order acceptance using your selected size, measurements, colour, material, design or other instructions.

Before confirming, you are responsible for reviewing:

  • measurements and selected size;
  • fit preference and intended layering;
  • colour and material direction;
  • design references and alterations;
  • hardware, lining and personalization;
  • spelling, logo and artwork details;
  • delivery address and required date.

Production dates are estimates and may change due to approval delays, material sourcing, complexity, quality review, customs, transport disruption or events outside reasonable control.

Once pattern work, sourcing, cutting, personalization or production has started, cancellation or major changes may be impossible or may require additional payment and time.

Custom and personalized products are generally not eligible for change-of-mind returns because they are produced for the specific customer. This does not remove any mandatory right relating to a verified defect, misdescription or other legally protected issue.

SHUAFAY provides interpretation and manufacturing—not guaranteed pixel-for-pixel replication of a third-party image.

The Custom Clothing and Made-to-Order Policy and Custom Sizing Policy apply in addition to this section.

10 Customer Designs, References and Uploaded Content

If you submit a design, photograph, sample, logo, artwork, text, measurement, video, technical file or third-party reference, you confirm that you own it or have permission to use it for the requested purpose.

You must not submit material that is unlawful, defamatory, misleading, harmful, infringing or unauthorized.

You retain ownership of your original content. You grant SHUAFAY a limited, non-exclusive, worldwide, royalty-free licence to use, reproduce, adapt, resize, store and share that content only as reasonably necessary to:

  • review the inquiry or order;
  • prepare a quotation or sample;
  • manufacture and fulfil the product;
  • coordinate suppliers and contractors;
  • perform quality control and support;
  • prevent fraud and resolve disputes;
  • meet legal or compliance obligations.

This operational licence ends when it is no longer reasonably required, subject to necessary records, backups, legal retention and dispute requirements.

We will not use private customer designs for public marketing merely because they were submitted for production. Marketing use requires consent or another lawful basis.

We may reject a request that appears to infringe intellectual property, create safety or legal concerns, or fall outside our technical or ethical standards.

11 SHUAFAY Wallet, Bonuses and Transfers

SHUAFAY Wallet is a website-based customer benefit and balance system governed primarily by the current Wallet Policy .

Wallet balances may be maintained separately in supported currencies. A balance in one currency does not automatically convert into another currency unless a conversion feature is expressly provided.

Wallet value may be used only against the eligible portion of a qualifying purchase. Full payment using Wallet value may not be available.

Promotional bonuses:

  • are promotional rather than cash;
  • may have separate redemption rules;
  • may be limited by product or order;
  • may change, pause or end;
  • may be reversed following refunds or abuse;
  • may expire where clearly disclosed and lawful.

Wallet balances do not earn interest and are not bank deposits, prepaid cards or ordinary cash accounts.

Wallet value is generally not withdrawable for cash, except where required by law or where SHUAFAY expressly provides a withdrawal feature.

Wallet-to-Wallet transfers may be available where the feature is enabled. Transfers may be subject to verification, limits, review, currency rules or a disclosed fee.

We may freeze, correct, reverse or audit a Wallet entry where reasonably necessary due to fraud, duplicate credit, technical error, refund, chargeback, policy breach or legal requirement.

12 Shipping, Customs, Delivery and Risk

Orders may be shipped through UPS, DHL or other suitable courier, air-cargo or freight services.

Processing and delivery times are estimates. They may be affected by production, verification, customs, weather, security, remote routing, carrier capacity, public holidays, political events or other matters outside reasonable control.

You are responsible for providing a complete and accurate delivery address, telephone number and any information reasonably required for delivery or customs clearance.

Unless checkout or a written agreement states otherwise, the recipient is responsible for import duties, destination taxes, brokerage, customs documents and local charges.

Additional costs resulting from an incorrect address, refused delivery, failed collection, storage, redirection or return to origin may be charged where legally permitted.

Risk of loss or damage

For consumer orders, risk passes at the point required by applicable consumer law, ordinarily when the goods are delivered to you or a person identified by you.

For B2B shipments, risk and responsibility follow the agreed quotation, Incoterm, freight arrangement or written contract.

Report visible damage, missing items or a delivery discrepancy promptly and preserve the package, labels, photographs and tracking information required for investigation.

13 Returns, Refunds, Warranty and Chargebacks

Return eligibility, time limits, condition requirements, exclusions and procedures are governed by the Refunds and Returns Policy .

Eligible returns generally require the product to be unused, unwashed, unaltered and returned with the applicable tags, packaging and proof of purchase.

Returns are inspected before approval. Normal leather variation, customer-caused damage, wear, odor, misuse, incorrect care or unauthorized alteration does not ordinarily qualify as a manufacturing defect.

Custom, personalized and made-to-order products are generally excluded from change-of-mind returns, subject to mandatory legal rights.

Approved refunds may be allocated back to the original payment method, Wallet balance, promotional component or other original payment source as appropriate.

Any Wallet bonus or promotional value linked to a refunded transaction may be adjusted or reversed according to the Wallet Policy.

Refund timing depends on inspection, processing and the customer’s bank, card issuer or payment provider.

Warranty

Workmanship and warranty concerns are handled under the Warranty Policy .

Payment disputes

Contact SHUAFAY first where possible so that a genuine order, refund or delivery issue can be investigated.

We may contest an inaccurate or abusive chargeback using order, payment, communication and delivery evidence. Nothing prevents a customer from using a lawful payment-dispute right in good faith.

14 B2B Manufacturing, Quotations and Commercial Orders

B2B projects may include product development, samples, private-label or white-label production, manufacturing, packaging, sourcing, compliance support and commercial logistics.

A B2B quotation, proforma invoice, purchase order acceptance, sample approval or written agreement may specify:

  • product specification and materials;
  • minimum order quantity;
  • sample and revision terms;
  • unit prices and tooling;
  • colour and size breakdown;
  • labels, packaging and branding;
  • testing and compliance responsibilities;
  • production and approval milestones;
  • payment stages;
  • Incoterm, freight and customs responsibility.

Unless the quotation states otherwise, commercial projects may use a staged payment structure of 50% to begin, 30% around 80% production completion and 20% before dispatch.

A sample or approved specification becomes the reference for bulk production. The buyer must review and approve measurements, materials, branding, packaging and functional requirements before bulk manufacturing.

The buyer is responsible for communicating the destination-market labelling, importer, safety, testing, certification and regulatory requirements.

SHUAFAY does not promise that a product is certified merely because it belongs to a regulated category. Certification, laboratory testing and documentation must be agreed for the specific product.

Reasonable variation in natural material, dye lots and supplier batches may occur between production runs.

The accepted B2B quotation or contract takes priority over these general Terms where it contains a project-specific provision.

15 SHUAFAY Studios Digital Services

SHUAFAY Studios projects may include website development, ecommerce, SEO, performance optimization, content, photography editing, video editing, social media, consulting and related digital services.

The accepted proposal, quotation, invoice, email confirmation or statement of work defines the project-specific:

  • scope and deliverables;
  • revisions and exclusions;
  • timeline and milestones;
  • client dependencies;
  • third-party software and licences;
  • fees and payment schedule;
  • acceptance and handover process.

The client must provide lawful content, accurate instructions, approvals, access credentials and feedback within a reasonable time.

Project timelines may change because of client delay, hosting issues, third-party plugins, API limitations, platform changes, security incidents or other dependencies outside SHUAFAY Studios’ control.

Deposits, completed milestones, reserved time, audits, strategy, custom configuration and work already performed may be non-refundable to the extent stated in the project agreement and permitted by law.

Upon full payment, the client receives the rights expressly stated for the final deliverables. SHUAFAY Studios retains its pre-existing tools, reusable methods, frameworks, templates, know-how and third-party licensed components.

SHUAFAY Studios does not guarantee a particular search ranking, traffic level, revenue, conversion rate, advertising approval or uninterrupted third-party platform result.

Confidential or unreleased client work will not be used publicly as a portfolio example without consent or another agreed basis.

16 SHUAFAY Intellectual Property, Reviews and Third Parties

SHUAFAY content

Unless otherwise stated, SHUAFAY owns or is licensed to use the website’s branding, logos, product names, descriptions, images, graphics, videos, layouts, code, documents, design systems and service content.

You may view and use the website for lawful personal or internal business evaluation. You may not reproduce, scrape, republish, frame, resell, distribute or commercially exploit SHUAFAY content without permission.

Reviews and feedback

A review, testimonial, comment or feedback must be truthful, lawful and based on a genuine experience.

By submitting public feedback, you grant SHUAFAY a non-exclusive licence to display, format and reproduce it for website, customer-support and promotional purposes, subject to applicable law.

We may moderate or remove content that is fraudulent, abusive, irrelevant, unlawful, infringing, contains personal information or violates these Terms.

Third-party services

The website may use payment providers, couriers, hosting, analytics, communication, social, marketplace, plugin, cloud and other third-party services.

Those providers operate under their own terms and privacy practices. SHUAFAY is not responsible for a third party’s independent website, policy, outage or action, except to the extent SHUAFAY remains responsible under applicable law.

18 Governing Law, Disputes, Changes and Contact

Good-faith resolution

Before starting formal proceedings, please contact SHUAFAY with the relevant order, transaction or project details so the matter can be reviewed in good faith.

Governing law and jurisdiction

These Terms are governed by the laws of Pakistan, without excluding mandatory consumer protections that apply in the customer’s country or place of residence.

Subject to any mandatory right to use another forum, disputes may be brought before a court of competent jurisdiction in Pakistan.

Severability and waiver

If a provision is held unlawful or unenforceable, it will be limited or removed only to the necessary extent. The remaining provisions continue in effect.

A delay or failure to enforce a right does not permanently waive that right.

Assignment

SHUAFAY may transfer rights or obligations as part of a legitimate business reorganization, sale or service arrangement, provided this does not unlawfully reduce your rights.

You may not transfer a personal order, Wallet account or service agreement without written approval unless applicable law provides otherwise.

Changes to these Terms

We may update these Terms to reflect legal, operational, security, payment, product or service changes.

The revised version becomes effective when published with a new “Last updated” date. The Terms in effect when a transaction was accepted will generally continue to govern that transaction unless a lawful written amendment states otherwise.

Entire agreement

These Terms, incorporated policies and any transaction-specific written agreement form the agreement relating to the applicable use, order or service and replace prior general representations on the same subject.
